Terms of Service.

1. Services
Alcherry (“we”, “us”) provides automation consulting, development, and ongoing management services (“Services”) as described in the applicable Statement of Work (SOW) or retainer agreement. All Services are subject to these terms unless otherwise agreed in writing.
2. Engagement
Engagements begin with a signed SOW or retainer agreement that specifies scope, timeline, deliverables, and pricing. Work begins only after mutual agreement on scope and receipt of any required access credentials.
3. Payment
Pilot engagements are billed as a fixed project fee. Retainer engagements are billed monthly in advance. Invoices are due within 14 days of receipt. Late payments may result in suspension of Services.
4. Intellectual Property
All custom automations, workflows, and configurations built specifically for you are owned by you upon full payment. Alcherry retains the right to use general methodologies, frameworks, and non-client-specific tools developed during the engagement.
5. Confidentiality
Both parties agree to keep confidential information private. This includes business data, API credentials, workflow logic, and performance metrics. Confidentiality obligations survive termination of the engagement.
6. Data Handling
We process data only as required to deliver the Services. We do not sell, share, or use client data for training AI models. See our Security page and Privacy Policy for details on data handling practices.
7. Limitation of Liability
Alcherry's total liability for any claim arising from the Services is limited to the fees paid for the specific engagement giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.
8. Termination
Either party may terminate a retainer engagement with 30 days' written notice. Pilot engagements run to completion unless both parties agree to early termination. Upon termination, we provide full handoff documentation and remove our access credentials within 7 days.
9. Changes
We may update these terms from time to time. Material changes will be communicated to active clients. Continued use of Services after changes constitutes acceptance.
